1. ELIGIBILITY OF USE

   You shall be entitled to use Mera Wazood Platform if (a) You are atleast 18 (eighteen) years of age; or (b) in case You are not 18 (eighteen) years of age then You have a parent's or guardian's consent/permission before accessing Mera Wazood Platform or any portion thereof; and (c) You have not been previously suspended or prohibited from accessing Mera Wazood Platform or otherwise availing the Services through Mera Wazood Platform. By visiting and using Mera Wazood Platform or accepting these Terms of Use, You represent and warrant to Organization that You are (i) of atleast 18 (eighteen) years of age or have a parent’s or guardian’s consent to access and use Mera Wazood Platform; and (ii) of sound mind. You also represent and warrant to the Organization that You will use Mera Wazood Platform in a manner consistent with any and all applicable laws and regulations. Further, the Organization reserves the right to refuse to provide You with access to Mera Wazood Platform or render Services in the event it is discovered by the Organization, or it is brought to Organization’s notice that You are in violation of the aforementioned covenants.

   Note: The browsing, access and use of Mera Wazood Platform is restricted only for persons above the age of 18 (eighteen) years, who are not classified as a ‘Child’ within the meaning of the DPDP Act and persons who are ‘competent to contract’ within the meaning of the Indian Contract Act, 1872 (“Minors”). Mera Wazood Platform is not intended for Minors and the Organization or Mera Wazood Platform does not target and/or attract any Minors. We do not knowingly or deliberately collect and/or process any Personal Information from Minors.

2. MODE OF USING MERA WAZOOD PLATFORM

   For the purpose of availing any and all the Services offered by Mera Wazood Platform, a User shall be required to register itself on Mera Wazood Platform by way of creating an account on Mera Wazood Platform (“Registered User”). For creating an account on Mera Wazood Platform, a User shall be required to provide certain personal information including but not limited to name, contact number, address, email address, identification proof, address, property details, buyer/seller details, bank account details and/or such other information as may be required by Mera Wazood Platform from time to time (“Personal Information”). Upon creation of an account on Mera Wazood Platform, the category or capacity selected by a Registered User shall determine the functionalities, permissions, interface and manner of use of Mera Wazood Platform applicable to such Registered User, which may differ from those available to other Registered Users. A Registered User shall be entitled to use Mera Wazood Platform in either of the following capacities:

   • Referral Partner:

     A Registered User who refers or introduces prospective leads in relation to real estate projects or opportunities to a Realty Leader (as defined below) through Mera Wazood Platform (“Referral Partner”);

   • Realty Leader:

     A Registered User who receives, manages and acts upon leads and referrals generated and provided by Referral Partner through Mera Wazood Platform in connection with real estate projects and opportunities (“Realty Leader”);

   • Seller/Leaseholder:

     A Registered User who directly lists, advertises, markets or offers any real estate project or property whether owned or leased by any authority to such leaseholder on Mera Wazood Platform for sale without the involvement of Referral Partner or Realty Leader (“Seller”);

   • Buyer:

     A Registered User who intends to buy, purchase, or otherwise acquire any real estate property, or project listed by a Seller on Mera Wazood Platform without the involvement of Referral Partner or Realty Leader (“Buyer”);

   • Lessor/Landlord:

     A Registered user who directly lists, advertises, markets or offers any real estate project or property on Mera Wazood Platform for lease and/or on rental, without the involvement of Referral Partner or Realty Leader (“Lessor”); or

   • Lessee/Tenant:

     A Registered User who intends to lease and/or procure on rental, any real estate property, or project listed by a Lessor on Mera Wazood Platform without the involvement of Referral Partner or Realty Leader (“Lessee”).

   A Registered User shall be solely responsible for maintaining the confidentiality of any information related to verification for the purpose of using Mera Wazood Platform provided by Registered User including any one-time password. Registered User agrees that if Registered User has provided any information that is inaccurate, false or incomplete or if Organization has sufficient reasonable evidence or grounds to suspect that such information is inaccurate, false or incomplete or not in accordance with this Terms of Use, Organization shall have the right to indefinitely suspend or terminate or block access of Mera Wazood Platform.

   The Registered User shall ensure that the Personal Information shall remain true, correct, complete in all aspects at all times. Mera Wazood Platform may prohibit creation of multiple accounts by the same User / Registered User, without any approval. It is hereby clarified that each registered mobile number and each email address can be used to create and maintain only 1 (one) Registered User’s account on the Mera Wazood Platform. A Registered User shall not be permitted to create multiple accounts using the same mobile number and/or email address.

3. SPECIFICATIONS AND USE OF MERA WAZOOD PLATFORM

   Mera Wazood Platform provides an online portal for the purpose of providing Services to the Users. Mera Wazood Platform connects (a) a Referral Partner with Realty Leader; (b) a Seller with Buyer; and (c) a Lessor with Lessee.

   It is hereby expressly clarified that Organization or Mera Wazood Platform is not an agency, agent or contractor, partner or principal of the Registered Users. Nothing contained under these Terms of Use or in any document referred to in it shall constitute Mera Wazood Platform as a partner, principal or agent of the other. Organization does not share any employer- employee relationship or any other relationship of like nature with either of the Registered Users. Mera Wazood Platform is a Technology Platform to connect the Registered Users. The actual service/products/information provided by a Registered User to another Registered User shall be outside the purview of Organization’s/ Platform Platform’s relationship with a Registered User. Organization/Mera Wazood Platform shall not be liable or responsible for any preferences or decisions made by a Registered User.

   It is expressly clarified that the Organization is not a party to any transaction or arrangement entered into between Registered Users and accordingly, Organization does not assume any liability in respect of any Registered User, whatsoever and thus cannot be held liable, vicariously or otherwise, for any action of another Registered User. Each Registered User agrees not to implead or join the Organization/Mera Wazood Platform as a party to any dispute, claim, action or proceeding arising out of or relating to such transaction or arrangement. If a Registered User or any third-party impleads the Organization in contravention of this provision, such Registered User shall have an obligation to ensure that the Organization is removed from array of parties and shall also indemnify and keep indemnified the Organization against all reasonable costs, expenses and liabilities incurred by the Organization in connection therewith.

   The information available on Mera Wazood Platform (“Digital Platform Content”) is made available solely for the purpose of rendering Services. The Digital Platform Content, save except Personal Information of a Registered User and UGC, shall be the sole and exclusive property of Organization and Organization is entitled to use the said Digital Platform Content in any manner it deems fit and proper.

   The username and password to access Mera Wazood Platform are chosen by the User, it is made abundantly clear that only the Registered User has the right to access the Services so offered by Mera Wazood Platform.

4. REGISTERED USERS AND MERA WAZOOD PLATFORM’S FRAMEWORK

   Registered User hereby agrees to use access and use Mera Wazood Platform, including the functionalities and permitted use, in either of such capacity as enumerated under Clause 3 (Specifications and Use of Mera Wazood Platform) of this Terms of Use.

   • Arrangement between Referral Partner and Realty Leader

     1. Use of Mera Wazood Platform by Referral Partner (as defined above): Referral Partner shall access and use Mera Wazood Platform only in the manner expressly permitted under these Terms of Use, without prejudice to the generality of the foregoing, the functionalities, permissions, permitted usage available to a Referral Partner on Mera Wazood Platform and the obligations of the Referral Partner, shall include the following:

        • At the time of registering and creating an account on Mera Wazood Platform, the Referral Partner shall register as a ‘referral partner’, the Referral Partner shall (i) pay the Onboarding Fee (if mandated by Mera Wazood latform); and (ii) accept the applicable Terms and Conditions (as defined below), Privacy Policy and such other policies as may be prescribed by Mera Wazood Platform (collectively, the “Platform Policies”). By creating an account and continuing to access or use Mera Wazood Platform, the Referral Partner thereby acknowledges and agrees to be bound by the Platform Policies, as amended from time to time.

        • After the creation of account, a Referral Partner shall be entitled to submit (i) the details and information pertaining to the real estate property(ies) or project including documents, photographs, co-ordinates and all other relevant particulars relating to the property proposed to be referred through Mera Wazood Platform; (ii) contact details of the Referral Partner (“Proposed Listing”) . Referral Partner represents and warrants that all information submitted by it in the Proposed Listing shall be true, correct, complete, accurate and not misleading in any manner and shall be updated promptly in the event of any change thereto.

        • Organization shall have the right, but not an obligation, to undertake verification exercise and conduct due diligence of the Proposed Listing submitted by the Referral Partner through the listing form, as Organization may deem necessary, at its sole discretion.

        • Referral Partner further acknowledges and agrees that, upon completion of any due diligence or verification exercise by Organization, in the event Organization determines (in its sole discretion) that: (i) Proposed Listing is inaccurate, incomplete, misleading or incapable of verification; and/or (ii) the property under the said Proposed Listing does not satisfy the eligibility criteria or requirements prescribed by Organization, and/or (iii) the Proposed Listing is otherwise unsuitable for onboarding onto Mera Wazood Platform, Organization shall be entitled to reject, remove or decline such Proposed Listing and/or restrict the Referral Partner's access to the relevant functionalities of Mera Wazood Platform, without incurring any liability whatsoever to the Referral Partner and Referral Partner hereby waives any and all rights to protest, raise a claim or demand against Organization in this respect.

        • In the event that Organization, pursuant to its review and/or due diligence of the Proposed Listing, is satisfied that the same meets the requirements prescribed by Organization, the Proposed Listing may be listed and published on Mera Wazood Platform in such manner as Organization may determine in its sole discretion. A Proposed Listing once published and listed on Mera Wazood Platform shall hereinafter be referred to as “Listing” and the property forming part of said Listing shall hereinafter be referred to as “Listed Property”

        • Organization may, at its sole and absolute discretion and in accordance with their internal assessment criteria, due diligence exercise, rating methodology and guidelines as may be determined, modified, revised or updated, from time to time, assign value token(s) or other classification to a Listed Property (“Credits”) for display on Mera Wazood Platform. The Referral Partner acknowledges that all allotment, assignment, categorisation, valuation, rating, modification, suspension or withdrawal of Credits shall be final, binding and solely determined by the Organization. The Referral Partner shall have no right to question, challenge or seek explanation regarding the criteria, methodology or process used, and hereby irrevocably waives all rights, claims or remedies against the Organization in relation thereto, including any claim for compensation or damages.

        • The Referral Partner shall undertake all other actions, incidental or otherwise as may be required to be undertaken by the Referral Partner with respect to the foregoing.

     2. 1. Use of Mera Wazood Platform by Realty Leader (as defined above): Realty Leader shall access and use Mera Wazood Platform only in the manner expressly permitted under these Terms of Use, without prejudice to the generality of the foregoing, the functionalities, permissions, permitted usage available to a Realty Leader on Mera Wazood Platform and the obligations of the Realty Leader, shall include the following:

        2. • At the time of registering on Mera Wazood Platform and creating an account, the Realty Leader shall register as a ‘Realty Leader’, the Realty Leader shall (i) pay the Onboarding Fee (if mandated by Mera Wazood Platform Platform); and (ii) accept the Platform Policies. By creating an account and continuing to access or use Mera Wazood Platform, the Realty Leader thereby acknowledges and agrees to be bound by the Platform Policies, as amended from time to time.

           • Upon registration on Mera Wazood Platform, the Realty Leader shall be allotted a limited number of Credits, which can only be utilized to access and view the Listings. The Realty Leader acknowledges and agrees that:

             • the number of Credits allotted upon registration shall be limited;

             • access to certain Listings and/or information forming part of Listings may require the utilization of a higher number of Credits than those initially allotted; and

             • in the event, the Realty Leader utilizes all the allotted Credits or seeks access to Listing requiring higher number of Credits then the Realty Leader shall be entitled to purchase additional Credits, by way of payment of the Subscription Fees in accordance with the fee structure prescribed on Mera Wazood Platform.

           • After accessing the Listing pursuant to the usage of Credits and accessing the contact details of the Referral Partner, Mera Wazood Platform shall be entitled to intimate/inform the Referral Partner regarding the access and viewing of the Listing by Reality Leader and accordingly, the Realty Leader shall also be intimated/informed with the contact details of the Referral Partner (“Listing Engagement”). Accordingly, the Realty Leader shall be entitled to connect with the Referral Partner either through itself or any third-party, the Realty Leader hereby agrees to irrevocably adhere to Terms and Conditions and pay the Referral Fee (as defined under the Terms and Conditions) to the Referral Partner, as determined and stipulated under the Terms and Conditions. The Realty Leader and Realty Partner hereby irrevocably confirm that the Terms and Conditions shall be binding and effective upon Mera Wazood Platform informing Referral Partner and Realty Leader of the Listing Engagement.

           • The Realty Leader shall undertake all other actions, incidental or otherwise as may be required to be undertaken by the Realty Leader with respect to the foregoing.

     3. Tracking Facility and Terms and Conditions:

        The Realty Leader and the Referral Partner may, subject to the functionalities made available on the Mera Wazood Platform, communicate with each other through the Mera Wazood Platform and access information relating to the progress of the transaction or deal pertaining to the Listed Property arising from Listing Engagement. The Referral Partner may view and track the status and progress of such transaction as updated on the Mera Wazood Platform by the Realty Leader. The Realty Leader shall be solely responsible for ensuring that all information, updates, statuses, milestones and other details relating to the progress of the transaction concerning the Listed Property are accurate, complete, current and promptly updated on the Mera Wazood Platform. The Referral Partner acknowledges that any information displayed through the deal-tracking functionality is derived solely from information provided by the Realty Leader and/or other Registered Users.

        At the time of registration on Mera Wazood Platform and creation of an account in the capacity of a ‘Referral Partner’ or a ‘Realty Leader’, as applicable, each Referral Partner and Realty Leader shall be required to read, acknowledge, accept and provide its express consent to the terms and conditions which shall come into effect on the Listing Engagement and shall govern the arrangement between the Referral Partner and the Realty Leader, the mechanism for payment of the Referral Fee (as defined under the Terms and Conditions) by the Realty Leader to the Referral Partner, and the manner of computation and settlement of such Referral Fee (“Terms and Conditions”).

        The Referral Partner and the Realty Leader hereby acknowledge and agree that acceptance of the Terms and Conditions shall constitute a bi-lateral arrangement strictly between the Referral Partner and Realty Leader without any recourse and/or representations/ assurances by Mera Wazood Platform and/or Organization. Such Terms and Conditions shall be performed and enforced only between the Referral Partner and Realty Leader including the payment of Referral Fee (as defined under the Terms and Conditions) in accordance with such terms therein.

        Mera Wazood Platform shall maintain a digital log of Referral Partner’s and Realty Leader’s acceptance of these Terms and Conditions, including the date, time, and IP address of acceptance, which shall serve as conclusive evidence of such acceptance.

   • Arrangement between Seller and Buyer:

     • Use of Mera Wazood Platform by Seller (as defined above): Seller shall access and use Mera Wazood Platform only in the manner expressly permitted under these Terms of Use, without prejudice to the generality of the foregoing, the functionalities, permissions, permitted usage available to a Seller on Mera Wazood Platform and the obligations of the Seller, shall include:

       • At the time of registering on Mera Wazood Platform and creating an account, the Seller shall register as a ‘seller’, and the Seller shall (i) pay the Onboarding Fee (if mandated by Mera Wazood Platform Platform); and (ii) accept the Platform Policies (as applicable). By creating an account and continuing to access or use Mera Wazood Platform, the Seller hereby accepts and agrees to be bound by the Platform Policies, as amended from time to time.

       • After the creation of account, Seller shall be entitled to submit the Proposed Listing. The Seller hereby represents and warrants that all information submitted by it in Proposed Listing shall be true, correct, complete, accurate and not misleading in any manner and shall be updated promptly in the event of any change thereto.

       • The Seller acknowledges and agrees that Organization shall have the right, but not the obligation, to undertake verification exercise and conduct due diligence of the Proposed Listing as Organization may deem necessary, at its sole discretion.

       • The Seller further acknowledges and agrees that, upon completion of any due diligence or verification exercise by Organization, in the event, Organization determines (in its sole discretion) that: (i) Proposed Listing is inaccurate, incomplete, misleading or incapable of verification; and/or (ii) the property under the said Proposed Listing does not satisfy the eligibility criteria or requirements prescribed by Organization; and/or (iii) the Proposed Listing is otherwise unsuitable for onboarding onto Mera Wazood Platform, Organization shall be entitled to reject, remove or decline such Proposed Listing and/or restrict the Seller's access to the relevant functionalities of Mera Wazood Platform, without incurring any liability whatsoever to the Seller and the Seller hereby waives any and all rights to protest or raise any claim or demand against the Organization in this regard.

       • In the event that Organization, pursuant to its review and/or due diligence of the Proposed Listing, is satisfied that the same meets the requirements prescribed by Organization, the Proposed Listing may be listed and published on Mera Wazood Platform in such manner as Organization may determine in its sole discretion. The Proposed Listing shall be deemed to be classified as ‘Listing’ and property forming part of said Listing shall be deemed to be referred to as ‘Listed Property’ for the purpose of Platform Policies.

       • Organization, in its sole and absolute discretion and in accordance with their internal assessment criteria, due diligence exercise, rating methodology and guidelines as may be determined, modified, updated or revised, from time to time, assign Credits to Listings for display on Mera Wazood Platform. The Referral Partner acknowledges that all allotment, assignment, categorisation, valuation, rating, modification, suspension or withdrawal of Credits shall be final, binding and solely determined by the Organization. The Seller shall have no right to question, challenge or seek explanation regarding the criteria, methodology or process used, and hereby irrevocably waives all rights, claims or remedies against the Organization in relation thereto, including any claim for compensation or damages.

       • The Seller hereby represents and warrants that the Listed Property is and shall at all times remain in full compliance with the provisions of the Real Estate (Regulation and Development) Act, 2016, the rules and regulations framed thereunder, and all other applicable laws in force in India.

       • The Seller shall undertake all other actions, incidental or otherwise as may be required to be undertaken by the Seller with respect to the foregoing.

     • Use of Mera Wazood Platform by Buyer (as defined above): Buyer shall access and use Mera Wazood Platform only in the manner expressly permitted under these Terms of Use, without prejudice to the generality of the foregoing, the functionalities, permissions, permitted usage available to a Buyer on Mera Wazood Platform and the obligations of the Buyer, shall include the following:

       • At the time of registering on Mera Wazood Platform and creating an account, the Buyer shall register as a ‘buyer’, and the Buyer shall (i) pay the Onboarding Fee (if mandated by Mera Wazood Platform); and (ii) accept the Platform Policies (as applicable). By creating an account and continuing to access or use Mera Wazood Platform, the Buyer thereby acknowledges and agrees to be bound by the Platform Policies, as amended from time to time.

       • Upon registration on Mera Wazood Platform, the Buyer shall be allotted a limited number of Credits, which can only be utilized to access and view the Listings. The Buyer hereby acknowledges and agrees that:

         • the number of Credits allotted upon registration shall be limited;

         • access to Listings and/or information forming part of Listings may require the utilization of a higher number of Credits than those initially allotted; and

         • in the event, the Buyer utilizes all of the allotted Credits or seeks access to Listings requiring higher number of Credits, the Buyer shall be entitled purchase additional Credits, by way of payment of the Subscription Fees in accordance with the fee structure prescribed on Mera Wazood Platform.

       • Buyer shall have the right to connect with the Seller of Listed Property and the same shall be deemed to be ‘Listing Engagement’ for the purpose of Platform Policies.

       • The Buyer shall undertake all other actions, incidental or otherwise as may be required to be undertaken by the Buyer with respect to the foregoing.

   • Arrangement between Leasor and Lessee

     1. Use of Mera Wazood Platform by Lessor: Lessor shall access and use Mera Wazood Platform only in the manner expressly permitted under these Terms of Use, without prejudice to the generality of the foregoing, the functionalities, permissions, permitted usage available to a Lessor on Mera Wazood Platform and the obligations of the Lessor, shall include the following:

        • At the time of registering on Mera Wazood Platform and creating an account, the Lessor shall register as a ‘lessor’, and the Lessor shall (i) pay the Onboarding Fee (if mandated by Mera Wazood Platform); and (ii) accept the Platform Policies (as applicable). By creating an account and continuing to access or use Mera Wazood Platform, the Seller hereby acknowledges and agrees to be bound by the Platform Policies, as amended from time to time.

        • After creation of account, the Lessor shall be entitled to submit Proposed Listing. The Lessor hereby represents and warrants that all information submitted by it in Proposed Listing shall be true, correct, complete, accurate and not misleading in any manner and shall be updated promptly in the event of any change thereto.

        • The Lessor acknowledges and agrees that Organization shall have the right, but not the obligation, to undertake verification exercise and conduct due diligence of the Proposed Listing as Organization may deem necessary, at its sole discretion.

        • The Lessor further acknowledges and agrees that, upon completion of any due diligence or verification exercise by Organization, in the event, Organization determines (in its sole discretion) that: (i) Proposed Listing is inaccurate, incomplete, misleading or incapable of verification; and/or (ii) the property under the said Proposed Listing does not satisfy the eligibility criteria or requirements prescribed by Organization; and/or (iii) the Proposed Listing is otherwise unsuitable for onboarding onto Mera Wazood Platform, Organization shall be entitled to reject, remove or decline such Proposed Listing and/or restrict the Lessor's access to the relevant functionalities of Mera Wazood Platform, without incurring any liability whatsoever to the Lessor and the Lessor hereby waives any and all rights to protest or raise any claim or demand against the Organization in this regard.

        • In the event that Organization, pursuant to its review and/or due diligence of Proposed Listing, is satisfied that property under the said Proposed Listing meets the requirements prescribed by Organization, the Proposed Listing may be listed on Mera Wazood Platform in such manner as Organization may determine in its sole discretion. The Proposed Listing shall be deemed to be classified as ‘Listing’ and property forming part of said Listing shall be deemed to be referred to as ‘Listed Property’ for the purpose of Platform Policies.

        • Organization, in its sole and absolute discretion and in accordance with their internal assessment criteria, due diligence exercise, rating methodology and guidelines as may be determined, modified, revised or updated, from time to time, assign Credits to Listings for display on Mera Wazood Platform. The Lessor acknowledges that all allotment, assignment, categorisation, valuation, rating, modification, suspension or withdrawal of Credits shall be final, binding and solely determined by the Organization. The Lessor shall have no right to question, challenge or seek explanation regarding the criteria, methodology or process used, and hereby irrevocably waives all rights, claims or remedies against the Organization in relation thereto, including any claim for compensation or damages.

        • The Lessor hereby represents and warrants that the Listed Property is and shall at all times remain in full compliance with the provisions of the Real Estate (Regulation and Development) Act, 2016, the rules and regulations framed thereunder, and all other applicable laws in force in India.

        • The Lessor shall undertake all other actions, incidental or otherwise as may be required to be undertaken by the Lessor with respect to the foregoing.

     2. Use of Mera Wazood Platform by Lessee: Lessee shall access and use Mera Wazood Platform only in the manner expressly permitted under these Terms of Use, without prejudice to the generality of the foregoing, the functionalities, permissions, permitted usage available to a Lessee on Mera Wazood Platform and the obligations of the Lessee, shall include the following:

        • At the time of registering on Mera Wazood Platform and creating an account, the Lessee shall register as a ‘lessee’, and the Lessee shall (i) pay the Onboarding Fee; and (ii) accept the Platform Policies (as applicable). By creating an account and continuing to access or use Mera Wazood Platform, the Lessee thereby acknowledges and agrees to be bound by the Platform Policies, as amended from time to time.

        • Upon registration on Mera Wazood Platform, the Lessee shall be allotted a limited number of Credits, which can only be utilized to access and view the Listing. The Lessee hereby acknowledges and agrees that:

          • the number of Credits allotted upon registration shall be limited;

          • access to certain Listings and/or information forming part of Listings may require the utilization of a higher number of Credits than those initially allotted; and

          • in the event, the Lessee utilizes all the allotted Credits or seeks access Listings requiring higher number of Credits, the Lessee shall be entitled to purchase additional Credits, by way of payment of the Subscription Fees in accordance with the fee structure prescribed on Mera Wazood Platform.

        • A Lessee shall have the right to connect with the Lessor of Listed Property and the same shall be deemed to be ‘Listing Engagement’ for the purpose of Platform Policies.

        • The Lessee shall undertake all other actions, incidental or otherwise as may be required to be undertaken by the Lessee with respect to the foregoing.

5. USER AND REGISTERED USER’S COVENANTS:

   Registered User’s right to access Mera Wazood Platform and its Services is subject to your compliance with these Platform Policies (as applicable).

   By using Mera Wazood Platform and/or Services, You agree to the following:

   • You will use Services and Digital Platform Content for your sole, personal use and You shall not resell or copy the Services or the Digital Platform Content to any third-party or use it for any commercial purposes or such other purposes other than as permitted under this Terms of Use;

   • You shall not assign or transfer your account on Mera Wazood Platform to any other person;

   • You agree that You shall not use the Services or Digital Platform Content for any unlawful, illegal or fraudulent purposes;

   • You shall not induce or influence or attempt to induce or influence any other User of Mera Wazood Platform to cease the use of Mera Wazood Platform or direct his or its use to some other platform, website, or application;

   • You shall keep your Mera Wazood Platform account details and password secure and confidential;

   • You agree to comply and abide by the terms and conditions of any existing and future virtual or digital stores or marketplaces including any website, mobile application/ mobile website and/or any other virtual platform where Mera Wazood Platform may be uploaded, hosted, published, as per the discretion of Organization (“Digital Application Store”);

   • You agree to duly make payment for Onboarding Fee and Subscription Fee, as applicable in accordance with the use of Mera Wazood Platform;

   • You agree to be in compliance with all applicable laws;

   • You understand and acknowledge that You have no ownership rights in your account and if you cancel your account, your account from Mera Wazood Platform will be marked as deleted. You understand and acknowledge, upon the termination of account, Organization shall have the right to retain any information related to your account in any manner as it may deem appropriate and in accordance with applicable law. Further, Organization shall have no obligation or responsibility to return your account information, and You agree and undertake not to have / make any claims for such account information;

   • You agree not to use or cause any other person to use any "API", "deep-link", "page-scrape", "robot", "spider" or another automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy or monitor any portion of Mera Wazood Platform or any Digital Platform Content, or in any way reproduce or circumvent the navigational structure or presentation of Mera Wazood Platform or any Digital Platform Content including catalogue, text, images, to obtain or attempt to obtain any documents or information through any means which is purposely not made available through Mera Wazood Platform;

   • You shall not attempt to gain or cause any other person to attempt to gain unauthorized access to any portion or feature of Mera Wazood Platform, or any other systems or networks connected to Mera Wazood Platform or to any server, computer, network, or to any of the Services offered on or through Mera Wazood Platform, by hacking, “password mining” or any other illegitimate means;

   • You agree not to use any device, software or routine to interfere or attempt to interfere with the proper working of Mera Wazood Platform or any transaction or engagement being conducted on Mera Wazood Platform, or with any other person's use of Mera Wazood Platform;

   • You agree to allow the Listing, or any part of it, to be searched, displayed, accessed, downloaded, copied, and otherwise referred to by Registered Users of the Mera Wazood Platform in accordance with Platform Policies. Organization shall have the sole authority to choose the manner in which any Listing will be searchable, displayed, accessed, downloaded, copied, and otherwise used on Mera Wazood Platform and Organization shall have the right to modify the Listing in the exercise of its rights under these Terms of Use;

   • Organization employs proprietary and third-party AI tools to identify and address harmful content on Mera Wazood Platform. These tools are designed to take reasonable efforts towards detecting violations of Platform Policies and applicable laws, including harmful behaviour such as speech that violates our Platform Policies;

   • You agree to the adhere to the following prior to the submitting any photographs and/or video content for listing any property on Mera Wazood Platform: (i) the photographs and/or video shall be original and free from copyright infringement and shall not be AI generated, however, the photographs and/or video may be enhanced by AI; (ii) the photographs and/or video not contain any personally identifiable information of the User; (iii) the photographs and/or video should not be obscene/inappropriate; (iv) photographs and/or video shall not contain any language which is detrimental to any community;

   • Using or attempting to use any automated program, software or system or any similar or equivalent process (including spiders, robots, crawlers etc.) to access, navigate, search, copy, monitor, download, scrape, crawl or otherwise extract in any manner, any data or content including but not limited to adding or downloading profiles, property listing, contact details, or send or redirect messages from Mera Wazood Platform shall be considered a violation of this Terms of Use; and

   • You accept and agree to undertake any and all other obligation(s) and dutie(s) as expressly and/or impliedly mentioned under Platform Policies and/or as may be reasonably required by way of availment of the Services and/or use of Mera Wazood Platform;

   • In case of any change or error or inaccuracy in the details forming part of Listing including particulars of the Listed Property, You shall promptly update the same on Mera Wazood Platform.

   You shall be liable for any liability of any nature arising out of breach of any covenant under the Platform Policies by You and Organization shall not be liable for the same and Organization shall have all the rights to take necessary actions and/or claim indemnity from You for any loss that may occur due to your involvement or participation in any way on your own or through or collectively with any other person, intentionally or unintentionally in unauthorized DoS (Denial of Service)/DDoS (Distributed Denial of Services), hacking pen-testing attempts without Organization’s prior consent. Further, You hereby agree to immediately notify Organization of any unauthorized use of your account, and passwords.

   The Realty Leader, Buyer or Lessee (as applicable) shall, at its own cost and expense, undertake its own independent due diligence of the Listing, including verification of title, ownership, encumbrances, regulatory approvals, physical status, and any other material aspect relating to the Listed Property. The Realty Leader, Buyer or Lessee (as applicable) shall not rely solely on the information, particulars, documents, or representations provided by the Referral Partner, Seller or Buyer (as applicable) through the Listing or otherwise on Mera Wazood Platform Platform, and assumes full responsibility for the accuracy, completeness, and suitability of the Listed Property for the intended transaction. In the event the Realty Leader, Buyer or Lessee (as applicable) fails to undertake such due diligence, or undertakes insufficient due diligence, all risks, losses, liabilities, claims, damages, costs, expenses, and consequences arising from or in connection with such failure or insufficiency shall be borne solely and exclusively by the Realty Leader, Buyer or Lessee (as applicable). The Realty Leader, Buyer or Lessee (as applicable) shall have no right to claim against, seek remedy from, or hold liable, the Organization for any loss, defect, dispute, or issue relating to the Listed Property, whether known or unknown.

   In the event of any breach of any Platform Policies or any violation of applicable laws by a Registered User, Organization shall have the right, in its sole discretion, to claim damages and penalties from the said Registered User, initiate and undertake any legislative actions, legal proceedings, and enforcement measures, and report the user and the breach to any relevant authority, regulatory body, law enforcement agency, or government department. Organization may also take any additional measures as deemed necessary, including restraining the Registered User from accessing the platform, terminating the Registered User's account, and seeking injunctive relief. The Registered user shall be solely responsible for all costs, expenses, and consequences arising from the breach, including legal fees and penalties imposed by any authority.

6. ONBOARDING FEE AND SUBSCRIPTION FEE

   In consideration of access to and use of certain features of Mera Wazood Platform, every Registered User shall be required to pay a one-time, non-refundable sign-up/registration / onboarding or access fee, of such amount as may be determined by the Organization on Mera Wazood Platform, from time to time (“Onboarding Fee”). The Onboarding Fee shall be payable at the time of registration on Mera Wazood Platform and, unless otherwise determined by the Organization, shall not be refundable, adjustable or transferable under any circumstances, including upon suspension, termination or discontinuation of a Registered User’s account or use of the Services, in accordance with the terms of this Terms of Use.

   Organization offers certain additional Services through Mera Wazood Platform which Realty Leader, Buyer and/or Lessee may subscribe to upon payment of fees as prescribed by the Organization on Mera Wazood Platform from time to time (“Subscription Fee”). The Subscription Fee shall be non-refundable, non-adjustable or non-transferable.

   Organization reserves the right to revise the Onboarding Fee and/or Subscription Fee without any notice to the Registered User or User at any time.

   Cash payments towards Onboarding Fee and/or Subscription Fees are strictly prohibited. A Registered User shall not tender cash directly or indirectly to any person claiming to act on behalf of Organization nor deposit cash directly into Organization’s bank account. Any such payment shall be invalid and shall not constitute discharge of the Registered User’s liability of making payments for Onboarding Fee or Subscription Fees. For the purpose of completing online transactions involving payment for Onboarding Fee and Subscription Fee, a Registered User shall be directed to a payment gateway appointed by the Organization. A Registered User understands and agrees that payment shall be subject to the terms and conditions of such payment gateway and Organization shall have no liability in this regard.

7. COLLECTION OF INFORMATION

   Organization collects information from everyone who uses Mera Wazood Platform: We use technologies like session and persistent cookies, web beacons (tiny image files on web pages that communicate information about the page viewer to the beacon owner), log data, and third-party analytics services to collect and analyze information about all users of our Services. This includes things like user search preferences, interaction with advertisements on Mera Wazood Platform, and location.

   Our servers automatically record information (“Log Data”) created by your use of Mera Wazood Platform. Log Data may include information such as your IP address, browser type, operating system, the referring web page, pages visited, location, your mobile carrier, device, search terms, and cookie information. Organization may use and store information about your location to provide a better user experience, to analyze Mera Wazood Platform or Services with the help of third-party analytics services, to provide You with relevant advertising and marketing recommendations, and otherwise to improve and customize Mera Wazood Platform or Services.

   A User is not obliged to register, and a Registered User shall have the option to deactivate its registration at any time, by contacting Organization’s customer care team, however, access to complete Services and Digital Platform Content is available only to a Registered User. A Registered User that has deactivated its account shall have create a new account by furnishing its Personal Information to be classified or use Mera Wazood Platform as a Registered User. In case such Registered User requests Organization to reactivate its deactivated account, Organization shall have the right but not the obligation to fulfil such request.

   A Registered User shall, at the time of registration, furnish Personal Information wherein such Personal Information shall be treated in the manner specified in Privacy Policy. A User may contact Organization on the details provided under the ‘Contact Us’ portion of Mera Wazood Platform in case any assistance is required at the time of registration.

   A Registered User providing the information shall ensure that such information furnished by it to Organization or on Mera Wazood Platform is accurate and valid. Organization shall have no obligation to ensure the correctness or validity of such information. You accept and provide your explicit consent that Organization may make your Personal Information available, in the manner as it may deem necessary to any person/organisation/entity authorized by Organization for the purpose of providing the Services envisaged herein and, in the manner specifically mentioned Privacy Policy. Subject to the Terms of Use herein, Organization will not disclose to any third party your Personal Information without your prior consent, except to the extent necessary or appropriate to comply with applicable laws or in legal proceedings where such information is relevant. However, You agree and acknowledge that Organization shall have the right to provide to other Registered Users, the Personal Information provided by You for the purpose of successfully rendering the Services. Organization shall not be liable for any claims, liability (direct / indirect) or damages in this regard, should such an eventuality arise as a result of Organization sharing the information provided by You to aforementioned person.

   Further, You understand that as a Registered User of Mera Wazood Platform and the Services, Organization may from time to time ask You to provide certain text, audio or visual testimonials pertaining to the Services rendered by Organization. In the event You choose to provide such testimonials You agree and accept and hereby consent Organization to display such testimonials on Mera Wazood Platform or use such testimonials, subject to Terms of Use herein, in any manner as Organization may deem fit. It is further clarified that the aforementioned testimonials contain views, language and opinions of the person providing such testimonials, Organization does not endorse any such views, language and/or opinions.

   You hereby provide your explicit consent to Organization to use any information provided by You including Personal Information for the purpose of gathering market intelligence including but not limited to customer survey, analysis of customer data, customer data, marketing press releases, etc. Organization reserves the right to offer, at its sole discretion as it may deem fit, third-party services and products to You based on the preferences that You identify at the time of your registration and at any time thereafter; such offers may be made by Organization or by third parties. You agree and acknowledge that Organization may use your contact information to provide or update You regarding promotion events, new offers, renewal reminders, payment reminders, feedback, opinion etc and the same shall not be treated as “spam” or unwarranted “marketing” calls. Please see the Organization’s Privacy Policy for further details regarding Your information.

8. DIGITAL PLATFORM CONTENT AND ITS USE

   The information forming part of Digital Platform Content is provided by the concerned parties and Organization does not furnish any representation or accuracy of the data on Mera Wazood Platform. It is hereby clarified that Organization shall be the sole owner of the Digital Platform Content save and except the Personal Information. Digital Platform Content is provided by users such as yourself, and Organization does not filter or verify the same. If a complaint is made, Organization shall take remedial measures as deemed appropriate by it.

   You hereby consent, expresses and agrees that You have read and fully understood the Privacy Policy and Terms and Conditions (if applicable), as provided on Mera Wazood Platform and any other documents, instructions, etc. included on Mera Wazood Platform which shall be a part of these Terms of Use. You further consent that the terms and contents of such Privacy Policy and Terms and Conditions are acceptable to You.

   Any reference to a Service which has been or may be provided by Organization or any other party on Mera Wazood Platform does not amount to a promise that such Service shall be available at any time. Changes to or improvements in such Services may be made at any time without any special notice to the User. Further, in the event that anything is not provided, specified, or covered under these Terms of Use, including the terms, conditions, manner of working, functionality, operation, or usage of any feature, tool, or functionality of Mera Wazood Platform, the same shall be determined, decided, and administered by Mera Wazood Platform in its sole discretion. Mera Wazood Platform shall have the right to determine, modify, revise, update, or withdraw any such term, condition, manner of working, or functionality at any time, and such determination shall be final, binding, and conclusive on all Registered Users. No Registered User shall have any right to question, challenge, or seek any explanation regarding the criteria, methodology, or process used by Mera Wazood Platform in this regard.

   In case You identify any error, issue or discrepancy in the Digital Platform Content, You may bring the same to Organization’s knowledge by emailing Organization on the email address provided in ‘Contact Us’ section of Mera Wazood Platform.

   Organization shall not be liable for any damages of any kind arising out of or relating to the use or the inability to use Mera Wazood Platform, its content or links, including but not limited to damages caused by or related to errors, omissions, interruptions, defects, delay in operation or transmission, computer virus, line failure and all other direct, indirect, special, incidental, punitive, loss of profit, exemplary or consequential damages whether based on warranty, contract, tort or any other legal theory including force majeure, and whether or not, such organizations or entities were intimated or advised of the possibility of such damages. You agree to defend, indemnify, and hold harmless, Organization and/ or its associates, subsidiaries, their officers, directors, employees, affiliates, licensees, business partners and agents, from and against any claims, actions or demands, including without limitation reasonable legal and accounting fees, alleging or resulting from your use of any material or your breach of these terms and conditions or any applicable law.

   The Organization does not warrant in any manner whatsoever that Mera Wazood Platform or any other software utilized by the Organization for internal purposes, shall at all times remain free from any harmful components and operational hazards such as computer virus, worms, trojans and such related components that might be a threat to the information. Organization shall endeavour to keep Mera Wazood Platform secured against any possible bugs, viruses or other technical problems in compliance with the best practices of this industry. Organization shall not be held liable for any damage or injury caused due to performance, failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, Computer Virus, link failure, site crash, malfunctioning or software/ hardware, unavailability of network, communications line failure, theft or destruction or unauthorized access to, alteration of, or use of information, whether resulting in whole or in part from negligence or otherwise.

9. RERA/RERDA COMPLIANCE OBLIGATIONS

   In case a Registered User or property listed on Mera Wazood Platform by a Registered User is covered under the Real Estate (Regulations and Development) Act, 2016 (“RERDA”), then such Registered User shall obtain all requisite approvals, licenses and permits issued by the competent authorities with respect to the property being listed by the relevant Registered User in the listing, by following the due process of law. Further, the Registered User shall, at all times, remain in compliance with all applicable laws in relation to the project/land/apartment/plot in the listing. The Registered User shall disclose all material information as required by applicable law and in respect of their registrations under RERDA and all such property(s) submitted including the present status and nature of such property and shall also disclose whether the property is free from all encumbrances or not.

10. FORCE MAJEURE

    Organization shall not be responsible or liable for or deemed to be in breach under these Platform Policies (as applicable) because of any delay or failure in the performance of its obligations hereunder which results from circumstances beyond the reasonable control of the Parties including but not limited to power-cuts, unavailability of server or internet, cyber terrorism, earthquakes, floods, storms, acts of terrorism, war (whether declared or undeclared), invasion, civil unrest pandemics, epidemics, lockdowns, imposed by government or any other statutory bodies, change in laws applicable to Organization, acts of god, governmental actions or regulations rendering curtailment, equipment breakdown or by reason of any other similar or dissimilar causes beyond the reasonable control of the Parties (“Force Majeure Event”).

11. CONFIDENTIAL INFORMATION

    The Organization is committed to safeguarding the privacy and confidentiality of your Personal Information in full compliance with the Digital Personal Data Protection Act, 2023 (“DPDP Act”)and the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011 (SPDI Rules). Any and all information pertaining to the User and Registered User records shall be used and processed by the Organization in accordance with Privacy Policies.

    The User and/or Registered User retains the right to request access to and obtain copies of any User and/or Registered User records held by us. Any such request shall be made in writing and will be responded to in a timely manner, provided that reasonable notice is given. Organization reserves the right to charge a fee for the retrieval and provision of copies of such records, as permitted under applicable law.

    User and/or Registered User are advised to retain copies of all literature, documentation, or materials issued by the Organization and/or Mera Wazood Platform in relation to the provision of our Services. Organization shall, where appropriate, issue to the User and/or Registered User written information, handouts, or copies of records as part of the services rendered under the terms of the agreement between the parties.

12. RETENTION OF INFORMATION

    We collect information as and when You use Mera Wazood Platform. What we collect, why we collect it, and how You can manage your information are described in our Privacy Policy. The User gives express consent to retention of data furnished by it to Organization and use it as it may deem fit to provide the Services in an effective and efficient manner including sharing of such data to any third-party in the manner specified under the Privacy Policy.

13. TERMINATION

    Organization may, without notice in its sole discretion, and at any time, terminate, suspend or restrict Your use or access to Mera Wazood Platform (or any part thereof) for any reason, including, without limitation, that Organization based on its judgement and perception believes You have violated or acted inconsistently with the letter or spirit of these Terms of Use or any applicable law. Organization shall have no liability or duty towards You and You hereby waive any right to protest and raise any claims against Mera Wazood Platform or the Organization in this regard. You hereby agree and acknowledge that upon termination, suspension or restriction on use or access of Mera Wazood Platform, the Organization and/or Mera Wazood Platform shall have no obligation to refund the Onboarding Fee and/or Subscription Fee and You hereby acknowledges that the Onboarding Fees and/or Subscription Fee shall not be refunded, adjusted or transferred under any circumstances, including upon suspension, termination or discontinuation of a Registered User’s account or use of the Services.

14. THIRD-PARTY WEBSITE AND USER GENERATED CONTENT

    Mera Wazood Platform may contain links to other websites or mobile applications owned and operated by third parties who are not related to Organization (“Third-Party Website”). Third- Party Websites are not under the control of the Organization. Consequently, Organization or Mera Wazood Platform shall not be responsible for act of Third-Party Websites.

    It is hereby clarified that Organization makes no representations as to the quality, suitability, functionality or legality of Third-Party Websites. You acknowledge that when You access a link that leaves Mera Wazood Platform, the site You will enter into is not controlled by Organization and different terms of use and privacy policies may apply. By accessing links to other sites, You acknowledge that Organization is not responsible for those sites. Organization reserves the right to disable links from third-party sites to Mera Wazood Platform, although it is under no obligation to do so.

    All matters concerning any goods and/or services that You purchase from a Third-Party Website, including without limitation all contract terms, are solely between You and the owner of that site and You agree not to hold Organization responsible or liable for any costs or damages to You or any third party arising directly or indirectly out of the purchase/availing by You of goods and/or services from any Third-Party Website and/or mobile application.

    Mera Wazood Platform may contain user generated content, i.e., property listing, information provided by a Registered User at the time of registration (“UGC”) which the Organization does not pre-screen and which contains views that may be opinions / views of Registered User / Users. These views do not represent Organization’s or Mera Wazood Platform’s views, opinions, beliefs, morals or values. Organization or Mera Wazood Platform does not claim any ownership rights in the text, files, images including photos, videos, sounds or any UGC that the Registered Users submit or publish on Mera Wazood Platform. After posting any UGC on Mera Wazood Platform, the Registered User continue to own the rights that the Users may have in that UGC, subject to the limited license set out here. The Organization shall do its best to monitor, edit or remove such UGC where Organization considers it appropriate or necessary to do so. Organization does not guarantee that the content in or on Mera Wazood Platform is accurate, complete or updated, that it will not offend or upset any person or that it does not infringe the Intellectual Property Rights of third parties. The Users and the Registered Users hereby expressly acknowledge and agree that Mera Wazood Platform or the Organization shall not be liable for the User’s and the Registered User’s losses or damages (whether direct or indirect) caused by any activity undertaken by the User on the basis of any UGC. The Registered User / User hereby acknowledges and agrees that, subject to the applicable DPDP Act, the Organization shall have the perpetual, worldwide, non-exclusive, royalty-free, transferable and sublicensable right to host, store, reproduce, publish, display, distribute, index, modify, adapt, process, promote, advertise, market, analyse, aggregate and otherwise commercially exploit or monetize the UGC, in whole or in part, in connection with the operation, promotion, improvement and monetization of the Mera Wazood Platform and the services offered thereon, without any further consent, notice or compensation being payable to the Registered User.

15. INTELLECTUAL PROPERTY RIGHTS

    All content included on Mera Wazood Platform or Services or Digital Platform Content and/or Log Data, such as text, graphics, logos, button icons, images, clips, digital downloads, data compilations, and software, is the property of Organization and its content suppliers/licensors and protected by copyright laws. All software used on Mera Wazood Platform is the property of Organization. Nothing contained herein shall be deemed to grant, convey, license, or assign any rights, title, or interest in respect of the intellectual property rights of the Organization.

    All other trademarks not owned by Organization that appear on Mera Wazood Platform are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by Organization or its affiliates.

    Organization is committed to remove any infringing products from Mera Wazood Platform, if so found. We understand that it is in Organization’s interest to ensure that infringing products are removed from Mera Wazood Platform.

    You must preserve all copyright, trademarks, service mark and other proprietary notices contained in the Digital Platform Content on any authorized copy You make of Digital Platform Content and/or Mera Wazood Platform. You may not sell or modify the Digital Platform Content or reproduce, display, publicly perform, distribute, or otherwise use the Digital Platform Content in any way for any public or commercial purpose, in connection with products or services that are not those of Organization, in any other manner that is likely to cause confusion among consumers or that otherwise infringes the Organization 's intellectual property rights.

16. INDEMNITY

    You, the User and/or Registered User hereby unconditionally and absolutely agree to defend, indemnify in full and hold harmless to the fullest extent the Organization, its subsidiaries, its affiliates and their respective promoters, shareholders, employees, directors, officers, agents, and/or their successors and assigns (“Indemnified Parties”) from and against any and all claims, actions, demands, liabilities, losses, costs demands, causes of action, damages and expenses (including attorney’s fees) (hereinafter referred to as “Claims”) of whatsoever nature and/or wherever made, which may be claimed, incurred, suffered and/or sustained by any of the Indemnified Parties or any third party, in connection with any Claims arising out of or in any way relating to; Your actions or inactions, including but not limited to, (a) the non-fulfilment of any of Your obligations under these Terms of Use; (b) arising out of Your violation of any applicable laws (including the DPDP Act, the IT Act, the IT Rules and the Consumer Protection (E-Commerce) Rules, 2020 and such other similar laws / legislations which may be enacted from time to time); (c) claims relating to libel, defamation, violation of rights of privacy or publicity; (d) loss of use and/or accessibility of Mera Wazood Platform; or (e) Your violation of and/or breach of the Platform Policies or (f) any third party claims from any government agency or department, banks, other Registered User and/or any third party.

    In the event any Claim is raised by any third party (as referred to in sub-clause (f) above), the relevant Indemnified Party shall notify You of such Claim, together with reasonable details available with the Indemnified Party (the “Third Party Claim”). Upon receipt of such notice, in relation to the Third Party Claim, You shall, without delay and in any event within the timelines specified herein below, make payments equivalent to the amounts set out in the Third Party Claim notice.

    You acknowledge and agree that You shall not dispute or challenge the amounts specified in the Third Party Claim notice as against the Indemnified Party. However, if the Third Party Claim is subsequently settled, withdrawn, dismissed or otherwise resolved in favor of the Indemnified Party, or if the Indemnified Party is required to pay a lesser amount to the third party than the amount received from You, the Indemnified Party shall refund to You the excess amount received from You, corresponding to the reduction in its liability pertaining to the Third Party Claim.

    You shall forthwith on demand make payment to the concerned Indemnified Party, within 14 (fourteen) days of receipt of a written demand from the Indemnified Party, without any dispute or delay.

17. USER REPRESENTATION AND WARRANTIES

    You agree that Organization shall not be held responsible, in any manner whatsoever, for any information or liability arising out of any information posted/displayed on Mera Wazood Platform and/or any use /access of the same by any third-party and is under no obligation to disable or otherwise restrict such use/access.

    You shall solely be responsible for the information or any liability arising from any information that You provide transmit, store or upload on Mera Wazood Platform or when making use of Mera Wazood Platform or to any other Registered User. You are solely responsible for the information furnished by You and assume all risks associated with use of your information, including any reliance on its accuracy, completeness or usefulness by others. Organization does not make any guarantee regarding the accuracy, currency, suitability or quality of any information and we assume no responsibility for the same.

    All the information You provide to Organization including information provided under Proposed Listing and/or Listing is only about yourself, or the account-holder entity or that You are allowed to possess under the applicable law and that all of such information is accurate, true, current, and complete and that Your use of the Services will always comply with these Terms of Use. You will remain responsible for all uses of your account, safeguard your password, and supervise the use of your account.

    The information posted, uploaded, published, submitted or transmitted by You on or through Mera Wazood Platform shall not be of defamatory, obscene, pornographic or paedophilic in nature or invade the right to privacy of another person. The information shall not be harmful to the minors, impersonate another person, contain software virus or threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign States, or public order, or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or is insulting any foreign states.

    A Referral Partner, Seller and Lessor hereby represent and warrants that:

    • Listed Property shall be free from all encumbrances;

    • They have the necessary authority and capacity to submit a Proposed Listing; and

    • The Listed Property is eligible to be sold, acquired, leased or otherwise transferred.

18. DISCLAIMERS

    Any Credits assigned by Organization on a property as listed by Referral Partner and/or Seller and/or Lessor (as applicable), shall be for informational and Mera Wazood Platform’s purposes only and shall not constitute a representation, warranty, certification, endorsement, recommendation, valuation, guarantee or confirmation by Organization regarding the property, its ownership, title, condition, legality, regulatory compliance, marketability, suitability for investment or any other matter whatsoever.

    Organization shall not be liable for any loss, damage, claim, cost, expense or liability arising out of or in connection with any inaccurate, incomplete, misleading or fraudulent information provided by the Referral Partner and/or Seller and/or Lessor (as applicable), or any defect, encumbrance, dispute, non-compliance, litigation or other issue relating to the Listing. Referral Partner and/or Seller and/or Lessor (as applicable) shall remain solely responsible for the accuracy and completeness of all information submitted to Organization and shall indemnify and hold harmless Organization, its affiliates, directors, officers, employees and agents from and against any and all losses, claims, damages, liabilities, costs and expenses arising from any breach of the foregoing.

    All information, descriptions, specifications, videos, photographs, documents, details and other Digital Platform Content relating to any Listing are provided solely by the relevant Referral Partner and/or Seller and/or Lessor (as applicable). Organization does not independently verify, validate, investigate, authenticate or warrant the accuracy, completeness, legality, ownership, marketability, title, condition, availability or suitability of any Listing, Listed Property or any other information uploaded on Mera Wazood Platform.

    Any due diligence, verification, or assessment undertaken by the Organization in relation to a Listing or Listed Property is conducted solely for Organization's internal purposes for determining onboarding, listing, or display on Mera Wazood Platform and solely based on the information, documents, particulars and details relating to the property under the Proposed Listing. Such due diligence does not constitute any guarantee, warranty, representation, or endorsement of the accuracy, completeness, title, ownership, regulatory compliance, physical condition, or suitability of the Listed Property for any purpose. No party, including any Registered User shall place any reliance on Organization’s due diligence and must independently verify all aspects of the Listed Property. Organization shall not be liable for any loss, damage, or consequence arising from any reliance placed on its due diligence and expressly disclaims all liability in connection thereto. Organization or any of its employees, agents, partners, or any person associated with Organization shall be under no obligation to conduct an independent verification of such information.

    Any decision by the Realty Leader and/or Buyer and/or the Lessee (as appliable), to access, evaluate, negotiate, inspect, pursue or enter into any transaction in relation to a property listed by the Referral Partner and/or Seller and/or Lessor (as applicable), shall be at the sole risk, discretion and responsibility of such Realty Leader and/or Buyer and/or the Lessee (as appliable). A Realty Leader and/or Buyer and/or Lessee (as appliable) are suggested to undertake its own independent due diligence, verification and assessment before entering into any arrangement or transaction relating to such property with Referral Partner and/or Seller and/or Lessor (as applicable). Organization shall not be responsible or liable for any negotiations, representations, warranties, commitments, disputes, defaults, misrepresentations, omissions, acts or omissions of any Registered User.

    Organization shall not be liable for any claim, dispute, loss, or consequence arising in relation to the Listed Property, including claims on title, ownership, encumbrances, regulatory compliance, or physical condition, merely because the Listed Property has been listed on Mera Wazood Platform. Listing on Mera Wazood Platform does not create any liability on Mera Wazood Platform for any matter relating to the property, and User shall have no right to hold Mera Wazood Platform liable for any claim arising simply from the fact of Listing.

    Any transaction, arrangement, engagement or commercial understanding entered into between (a) Realty Leader and a Referral Partner; and/or (b) Lessor and the Lessee; and/or (c) the Buyer and the Seller, including but not limited to payment of Referral Fee by the Realty Leader to Referral Partner shall be solely between such parties, and Organization shall not be a party thereto and shall have no responsibility or liability arising therefrom.

    Credits, Onboarding Fees, Subscription Fees and any other fees paid for access to, or use of Mera Wazood Platform are consideration for access to the functionalities of Mera Wazood Platform and do not constitute consideration for any successful transaction between Registered Users, lead conversion, property acquisition, lease, sale or other commercial outcome.

    The Seller and/or the Lessor (as applicable) shall be solely responsible for obtaining and maintaining all registrations, approvals, permissions and compliances required in connection with the property and its listing on Mera Wazood Platform.

    Organization shall not be liable for any diminution in the value of the Listed Property, loss of marketability, or any reputational harm to a Registered User, property owner, or any other party arising from or in connection with the Listing, the display of the Listing, or the allotment, assignment, categorisation, valuation, rating, modification, suspension, or withdrawal of Credits.

    The mere fact of listing, display, or Token assignment does not constitute any guarantee of value, marketability, or reputation, and Organization expressly disclaims all liability for any such diminution, loss, or harm, whether direct or indirect, known or unknown.

    Organization shall not be liable beyond the point of Listing Engagement in respect of any Registered User or payment of the Referral Fee, and shall have no liability for any loss, damage, dispute, or consequence arising from the sale, purchase, lease or transaction of the Listed Property, including title, ownership, compliance, or default by any party. Registered User acts independently and at their own risk, and Organization expressly disclaims all liability in this regard.

    The information and updates provided by the Realty Leader on Mera Wazood Platform in respect of Listing after the Listing Engagement is for information purposes only and is based solely on the information furnished by the Realty Leader. Organization does not verify, endorse, or guarantee the accuracy, completeness, or correctness of such status updates and shall have no liability for any loss, damage, claim, or consequence arising from any inaccuracy, delay, or misrepresentation in the lead status or transaction updates. The Referral Partner acknowledges that Organization has no knowledge of whether such status is correct and expressly disclaims all liability in connection thereto.

    You understand and agree that Organization is merely providing a platform which enables You to generate, browse, submit, manage and view the real estate projects and properties. You understand that by registering or providing information/or and accessing Services directly or indirectly from Mera Wazood Platform, You receive the ability to use Mera Wazood Platform and to access to Digital Platform Content including but not limited to details of real estate projects and properties and details of other Registered Users.

    You further acknowledge and agree that You are not acting upon the advice or direction of Organization or any of its subsidiaries, affiliates, officers, directors, employees, agents. Organization is not advising or guiding You on your engagements or your transactions on Mera Wazood Platform. We do not verify legality of your transactions and shall not be held liable for the same.

    You also acknowledge and agree that at all times, it is your responsibility to be familiar with, to abide by and to comply with all relevant laws, rules and regulations that may apply to You and your relationship with any other user of Mera Wazood Platform including but not limited to employment and labour laws.

    Organization expressly disclaims all such warranties that are not expressly furnished by it under these Terms of Use. The entire risk as to the quality and timelines of the information, and all Services provided by Organization is borne exclusively by You. Organization uses public data and information provided to us by third parties in order to compile its Services. As such, Organization relies on providers of this information for its accuracy and correctness. Organization makes no warranty that the Service or our content on Mera Wazood Platform will meet your requirements, or that the Services will be uninterrupted, timely, secure, or error free; nor does Organization make any warranty as to the results that may be obtained from the use of the Service or as to the accuracy or reliability of any information obtained through Mera Wazood Platform.

    We only make available the Digital Platform Content on an ‘as is’ basis, as provided by other users of Mera Wazood Platform. Nothing contained herein shall be deemed to construe as the advice, views, opinions or beliefs of Organization or endorsement of any person by Organization, and Organization makes no claim of accuracy of any user posted material. A User shall be solely responsible for any data or information provided by him/her and any liability arising in respect thereof including against Organization. Further, it shall be the sole responsibility of a User to ensure compliance with all laws or regulations applicable to it and the information furnished by it. of any information obtained through Mera Wazood Platform.

    Organization hereby expressly disclaims all liability, whether express or implied, statutory or otherwise, which may arise on account of Registered Users' use of Mera Wazood Platform.

    The deal-tracking facility made available through the Mera Wazood Platform for the benefit of the Referral Partner and/or other Registered User is merely a technological feature and convenience tool intended to facilitate communication and information sharing between Registered Users. Mera Wazood Platform merely provides the underlying technology platform enabling such functionality and acts solely as an intermediary in relation thereto.

    Mera Wazood Platform does not participate in, supervise, monitor, verify, validate, manage, control, negotiate, facilitate, conclude or otherwise involve itself in any transaction, arrangement, understanding, negotiation or deal between the Realty Leader, Referral Partner or any third party. Mera Wazood Platform neither guarantees the accuracy, completeness, authenticity or timeliness of any information displayed through the deal-tracking functionality nor assumes any responsibility or liability for any delay, omission, inaccuracy, misrepresentation, non-update or failure by any Registered User to update the status or progress of any transaction.

    The availability of the deal-tracking functionality shall not be construed as creating any obligation, duty, fiduciary responsibility, agency relationship or monitoring responsibility on the part of Mera Wazood Platform to track, verify, oversee, enforce, manage or report upon the progress, completion, closure or outcome of any transaction or Listed Property. Any reliance placed by a Registered User on information made available through such functionality shall be entirely at such Registered User's own risk.

19. LIMITATION OF LIABILITY

    Organization shall not be liable for any damages of any kind arising out of or relating to the use or the inability to use Mera Wazood Platform, its content or links, including but not limited to damages caused by or related to errors, omissions, interruptions, defects, delay in operation or transmission, computer virus, line failure and all other direct, indirect, special, incidental, punitive, loss of profit, exemplary or consequential damages whether based on warranty, contract, tort or any other legal theory including force majeure, and whether or not, such organizations or entities were intimated or advised of the possibility of such damages.

    Organization assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communication line failure, theft or destruction or unauthorized access to or alteration of User's data/information. Organization shall not be responsible for any problem or technical malfunction, on-line-systems, servers or providers, computer equipment, software, failure of e-mail or players on account of technical problem or traffic congestion on the internet or at any website or combination thereof, including injury or damage to any User or to any other person's computer related to or resulting from participating or downloading materials/information from Mera Wazood Platform.

    Organization shall not be liable on account of any inaccuracy of information on Mera Wazood Platform. Any breach of privacy or of the information provided by the User to Organization to be placed on Mera Wazood Platform by technical or any other means is not the responsibility of Organization and Organization does not guarantee confidentiality of information provided to it by any person acquiring/using all/any information displayed on Mera Wazood Platform or any of its other websites / domains, if any, owned and operated by Organization.

    No advice or information, whether oral or written, obtained by You from Organization or through or from Mera Wazood Platform, software or code shall create any warranty not expressly stated in the Terms of Use.

    ORGANIZATION SHALL NOT BE LIABLE FOR ANY DAMAGES/THEFT AND/OR CRIMINAL ACTIVITY WHICH IS DEEMED AS AN OFFENCE UNDER ANY APPLICABLE LAWS OF INDIA AND/OR OUTSIDE INDIAN TERRITORY DONE BY A USER. THE PERSON DOING SUCH CRIMINAL ACTIVITY SHALL BE WHOLLY AND SOLELY RESPONSIBLE FOR SUCH CONDUCT. NEITHER THE COMPLAINANT NOR THE ALLEGED OFFENDER SHALL HOLD ORGANIZATION RESPONSIBLE FOR THE SAME. A USER HAS AN OBLIGATION TO COMPLY WITH ALL APPLICABLE LAWS WITH RESPECT TO PURCHASE OF PRODUCTS. ORGANISATION/MERA WAZOOD PLATFORM OR ITS AFFILIATES SHALL HAVE ABSOLUTELY NO LIABILITY AND/OR RESPONSIBILITY TOWARDS A USER IN CASE OF SUCH CIRCUMSTANCES. NO CIVIL OR CRIMINAL LIABILITY SHALL ARISE AGAINST ORGANIZATION OR ITS AFFILIATES. ORGANIZATION SHALL NEITHER BE A PARTY TO ANY JUDICIAL PROCEEDING ARISING OUT OF ANY TRANSACTION BETWEEN REGISTERED USERS NOR THE PARTIES TO SUCH JUDICIAL PROCEEDING HAVE ANY RIGHT TO CLAIM ANY DAMAGES, COSTS, EXPENSES, OUSTANDING DUES FROM ORGANIZATION.

20. ELECTRONIC COMMUNICATION

    Visiting Mera Wazood Platform, sending emails to Organization, constitutes electronic communications. You consent to receive electronic communications, and You agree that all agreements, notices, disclosures and other communications that we provide to You electronically, via email and on Mera Wazood Platform or any other electronic mode that Organization may deem fit, satisfy any legal requirement that such communications be in writing.

21. PRIVACY

    Your use of Mera Wazood Platform is subject to Organization’s Privacy Policy. Click here www.merawazood.com/privacy-policy to show and/or print a copy of this Privacy Policy, which forms part of these Terms of Use. By accepting these Terms of Use, You shall also be deemed to have accepted the terms of the Privacy Policy.

22. FRAUDULENT TRANSACTIONS

    We reserve the right to recover the costs and lawyers’ fees from persons using Mera Wazood Platform fraudulently including but not limited to copying, selling, distributing, transferring the Digital Platform Content. Organization reserves the right to initiate legal proceedings against such User or any other person for fraudulent use of Mera Wazood Platform Platform.

23. JURISDICTION AND DISPUTE RESOLUTION

    These Terms of Use and any dispute or claim arising out of or in connection with it or its subject matter, existence, negotiation, validity, termination or enforceability (including non-contractual disputes or claims) shall be governed by, and construed in accordance with, the laws of India. Courts in Delhi shall have exclusive jurisdiction in determination of all disputes.

24. GRIEVANCE REDRESSAL

    In the event of any grievance against the Platform Policies or usage of Mera Wazood Platform, You may contact the grievance officer / data protection officer as mentioned hereunder through a formal email stating your grievance. The grievance officer / data protection officer shall on behalf of Organization subject to the Terms of Use, Privacy Policy and other applicable laws, redress such grievance within 1 (one) month from the date of receipt of the grievance by Organization.

    You hereby acknowledge and affirm that You have read entire Terms of Use along with other documents including but not limited to Privacy Policy and Terms and Conditions (if applicable) and You agree to be bound by all its terms and conditions by your use of Mera Wazood Platform and/or creation of account of Mera Wazood Platform.
